should I buy

I bought 100 shared in Total Trak> A ross Cooper of North Point Ohio phoned and offerd me $8.75 per share for 5000 shares.Checked with TT and confirmed I had 1000 shares. Told Cooper he assured me register showed 5k. THen said they were "s" shares and would have to be released from "legend". This would cost $3500. Put me onto Lincoln Trust T &A. A Mark Jackson confirmed the shares register showed 5k. I checked both orgaisations, and both seemed to have rspectable web sites and addresses and phone numbers. I have asked them to please not try to con me and they have repeatedly assured me they are OK. Jackson's explanation was that the company would issue extra shares "unbeknown to Shareholder" to defend against a takeover. Is it a cheap con or are these guys possibly genuine? I await your comments
